Confidentiality Policy

Confidentiality is fundamental to our work. To prepare a strong proposal, you share sensitive information with us — pricing, strategy, qualifications, and the details of the opportunities you are pursuing. This Confidentiality Policy explains how WinRate Proposals protects that information, what we use it for, and the limited circumstances in which we may disclose it. It forms part of our Terms of Service.

01What we treat as confidential

We treat as confidential all non-public information you share with us in connection with an enquiry or engagement, in whatever form it is provided. This includes, without limitation, your pricing and commercial terms, business strategy, qualifications and past performance, customer and partner information, the solicitation and opportunity materials you provide, drafts and Deliverables, and the fact and nature of our engagement, where you have asked us to keep it private.

02How we use confidential information

We use your confidential information solely to provide the Services to you — to research, draft, revise, and deliver your proposal, response, template, or strategy work, and to communicate with you about your engagement. We do not use it for any unrelated purpose, and we do not sell it.

03Protecting your information

We apply reasonable administrative, technical, and organizational measures to protect confidential information, including:

  • Limiting access to those working on your engagement who need the information;
  • Using reputable, access-controlled tools for communication, document handling, and storage;
  • Applying sensible security practices and keeping confidential materials separate from public materials;
  • Retaining confidential information only as long as needed, consistent with our Privacy Policy.

No safeguards are perfect, but we take the protection of your information seriously and handle it with professional care.

04Separation between clients

We work with multiple clients, sometimes within the same industry. We keep each client's confidential information separate and do not disclose one client's confidential information to another. We do not share your pricing, strategy, or opportunity details with anyone outside your engagement. The general skills, experience, and know-how we develop over time remain ours to use, but always without disclosing any client's confidential information.

05Conflicts of interest

Because competitors may both seek our help, we handle potential conflicts with care. Where we become aware that working on a specific, identifiable opportunity for you would directly conflict with work for another client on the same opportunity, we will manage the situation appropriately, which may include declining the engagement. If you are concerned about a conflict, please raise it with us before engaging us.

06Our service providers

We may use trusted third-party service providers — such as hosting, email, document, scheduling, and payment providers — to operate our business. Where these providers may handle confidential information, we use reputable providers and rely on appropriate protections so that the information is used only to provide services to us. Our use of service providers is described further in our Privacy Policy.

07Permitted disclosures

We may disclose confidential information only in limited circumstances, namely:

  • With your consent or at your direction;
  • To our service providers and professional advisers, as needed to provide the Services or run our business, under appropriate confidentiality protections;
  • Where required by law, regulation, court order, or valid legal process;
  • Where necessary to establish, exercise, or defend legal claims, or to protect our rights, safety, or property.

Where permitted by law, we will give you reasonable notice before disclosing your confidential information in response to legal process.

08Information that is not confidential

Information is not treated as confidential to the extent that it is or becomes publicly available other than through our breach; was lawfully known to us without a duty of confidentiality before you disclosed it; is lawfully received from a third party without a duty of confidentiality; or is independently developed by us without using your confidential information.

09Non-disclosure agreements

We are glad to enter into a separate non-disclosure agreement where your situation requires one. Where we sign a specific NDA with you, its terms apply to the information covered by it in addition to this policy. If the NDA and this policy conflict for that information, the NDA controls.

10Use of anonymized learnings

We may use general, anonymized, non-confidential learnings from our work to improve our methods and templates, provided that doing so does not disclose your confidential information and does not identify you. We will not present your specific pricing, strategy, or opportunity details to others.

11Your responsibilities

Confidentiality runs both ways. Drafts, templates, and Deliverables we provide may contain our confidential WinRate Materials, and you agree to keep those confidential as described in our Intellectual Property Policy. Please also avoid sending us information you are not permitted to share, and let us know if any material you provide is subject to special handling requirements.

12After the engagement

Our duty to protect your confidential information continues after an engagement ends. We retain confidential materials only as long as necessary, consistent with our Privacy Policy, and continue to apply the protections described here for as long as we hold them.

13Changes to this policy

We may update this Confidentiality Policy from time to time. The "Last updated" date above reflects the most recent revision. The version in effect at the time of your engagement governs that engagement unless we agree otherwise in writing.
