These Terms of Service ("Terms") govern your access to and use of the WinRate Proposals website and the proposal writing, RFP-response, template, and business-development services we provide ("Services"). By engaging us, accessing our website, or using any deliverable we produce, you agree to these Terms. Please read them carefully.

01Who we are

WinRate Proposals ("WinRate", "we", "us", or "our") is a remote proposal and business-development practice that prepares custom proposals, responses to Requests for Proposals, reusable proposal templates, and bid strategy for businesses competing for contracts. References to "you" or "Client" mean the individual or organization that engages our Services or uses our website.

These Terms apply to all visitors and clients. Specific engagements may also be governed by a separate written proposal, statement of work, or order confirmation ("Engagement Agreement"). Where an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls for that engagement.

02Acceptance of these terms

By submitting an enquiry, confirming an engagement, making a payment, or otherwise using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, you should not use our website or Services.

03Our services

We offer professional services that may include, without limitation: custom proposal writing for individual contracts; complete RFP-response packages; access to a library of proposal templates; and business-development strategy engagements. The exact scope, deliverables, timeline, and fees for your engagement are defined in the Engagement Agreement.

What our Services are

Our Services are professional writing, strategy, and document-preparation services. We help you present your offering as clearly and persuasively as possible and assemble documents that respond to the requirements you provide.

What our Services are not

We do not guarantee that any proposal, bid, or submission will be selected, shortlisted, or awarded. Award decisions rest entirely with the issuing organization and depend on many factors outside our control, including your pricing, qualifications, competition, and the evaluator's judgment. Our Services do not constitute legal, financial, accounting, or other regulated professional advice.

04Client responsibilities

The quality of any proposal depends heavily on the information you provide. You agree to supply accurate, complete, and timely information, materials, and feedback, and to do so in a form we can reasonably work with. In particular, you agree to:

  • Provide the underlying opportunity, solicitation, or RFP documents and any applicable submission requirements;
  • Supply accurate details about your company, qualifications, past performance, and pricing;
  • Review drafts and return feedback within the timeframes we agree, especially for deadline-driven work;
  • Ensure that any materials you supply do not infringe the rights of any third party;
  • Comply with all rules, terms, and laws that apply to the opportunity you are pursuing.

We are not responsible for delays, errors, or missed deadlines that result from incomplete, inaccurate, or late information, or from your failure to respond within agreed timeframes.

05Engagements, revisions, and deadlines

Each engagement proceeds through the stages described in the Engagement Agreement, which typically include a brief and strategy phase, drafting, an agreed number of revision rounds, and final delivery. Additional revisions beyond the agreed scope may be subject to additional fees.

For engagements tied to a fixed submission deadline, we will plan the schedule around that deadline. Meeting any deadline depends on your timely provision of information and feedback. We will use reasonable professional efforts to deliver on schedule, but we are not liable for outcomes affected by factors outside our reasonable control.

06Fees and payment

Fees for the Services are set out in the Engagement Agreement and are quoted in United States dollars unless stated otherwise. Unless agreed otherwise in writing, payment terms, deposits, and milestones are as described in that agreement. We may begin work upon receipt of the agreed deposit or confirmation.

Late payments may result in suspension of work or withholding of deliverables. You are responsible for any taxes applicable to the Services other than taxes based on our net income. Refunds and cancellations are addressed in our Refund & Cancellation Policy, which forms part of these Terms.

07Intellectual property

Ownership of deliverables, templates, and underlying methods is addressed in detail in our Intellectual Property Policy, which forms part of these Terms. In summary, upon full payment you receive the rights to use the final deliverables we prepare for your engagement, while we retain ownership of our pre-existing methods, frameworks, and template structures.

08Confidentiality

We treat the non-public information you share with us as confidential and use it only to provide the Services, as described in our Confidentiality Policy. We are happy to enter into a separate non-disclosure agreement where required.

09Acceptable use

You agree to use our website and Services lawfully and in good faith, and not to use them in any way that violates these Terms, our Acceptable Use Policy, or applicable law. We reserve the right to decline or discontinue any engagement that we believe involves unlawful, fraudulent, deceptive, or otherwise improper conduct.

10Disclaimers

The Services and all deliverables are provided on a professional-effort basis. Except as expressly stated in an Engagement Agreement and to the fullest extent permitted by law, the Services and website are provided "as is" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Additional disclaimers specific to proposals and RFP outcomes are set out in our Service Disclaimer and Proposal & RFP Disclaimer, which form part of these Terms.

11Limitation of liability

To the fullest extent permitted by law, WinRate Proposals and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, contracts, opportunities, data, or goodwill, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to any engagement will not exceed the total fees you paid us for that engagement.

12Indemnification

You agree to indemnify and hold harmless WinRate Proposals and its team from and against any claims, damages, liabilities, costs, and expenses arising out of your breach of these Terms, your misuse of the Services or deliverables, the accuracy of information you supply, or your violation of any law or third-party right.

13Term and termination

These Terms apply while you use our website or Services. Either party may terminate an engagement as set out in the Engagement Agreement and our Refund & Cancellation Policy. Provisions that by their nature should survive termination — including those on intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification — will survive.

14Governing law

These Terms are governed by the laws of the Commonwealth of Kentucky and applicable United States federal law, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located in Kentucky for any dispute that is not otherwise resolved, except where applicable law provides otherwise.

15Changes to these terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Material changes will take effect when posted on this page. Your continued use of the website or Services after changes are posted constitutes acceptance of the revised Terms.
