Intellectual Property Policy

This Intellectual Property Policy explains who owns what when WinRate Proposals prepares proposals, RFP responses, templates, and strategy work for you. It is designed to be fair: you get full use of the deliverables you pay for, while we retain the general methods, frameworks, and know-how that let us serve every client. This policy forms part of our Terms of Service.
01Definitions
In this policy, "Deliverables" means the final, client-specific documents we prepare for your engagement, such as a completed proposal or RFP response. "Client Materials" means the information, content, branding, and documents you provide to us. "WinRate Materials" means our pre-existing and independently developed methods, frameworks, structures, checklists, sample language, and template architecture that we use across engagements.
02Your Client Materials
You retain all ownership of your Client Materials. By providing them to us, you grant us a limited license to use, reproduce, and adapt them solely for the purpose of providing the Services to you. You are responsible for ensuring that your Client Materials, and our agreed use of them, do not infringe the rights of any third party.
03Ownership of Deliverables
Upon full payment of all fees due for an engagement, the final Deliverables prepared specifically for you become yours to use for the purpose for which they were created — namely, pursuing the opportunity in question and your related business development. Until full payment is received, all rights in the Deliverables remain with us, and drafts are provided for review only.
04What we retain
We retain all rights, title, and interest in the WinRate Materials, including the underlying structures, frameworks, methodologies, reusable language patterns, and template architecture that we bring to and develop independently of any single engagement. Your ownership of a Deliverable does not transfer ownership of these general tools, and nothing in an engagement restricts our right to use our skills, experience, and know-how for other clients.
05Template products
Proposal templates offered as products are licensed, not sold. When you purchase or receive a template, we grant you a non-exclusive, non-transferable license to use and adapt it for your own business proposals. You may not resell, redistribute, sublicense, publish, or share the template itself, or make it available to others as a template, whether or not modified.
What you may do with a template
Use it internally, adapt it for your own opportunities, and incorporate your own content into it.
What you may not do with a template
Resell or redistribute it, share it outside your organization as a template, or present it as your own product or service.
06License back for our records and improvement
We may retain copies of Deliverables and engagement materials for our records, for legal and administrative purposes, and to support follow-on work, in accordance with our Privacy and Confidentiality Policies. Where we wish to use anonymized, non-confidential learnings to improve our general methods and templates, we will do so in a way that does not disclose your confidential information or identify you.
07Our brand and website
The WinRate Proposals name, wordmark, website design, text, graphics, and other content are protected by intellectual property rights and belong to us or our licensors. You may not copy, reproduce, republish, or use our brand or website content without our prior written permission, except as permitted by law.
08Third-party and licensed content
Where Deliverables or templates incorporate third-party content used under license — such as fonts, icons, or stock assets — that content remains subject to its own license terms. We will use commercially reasonable efforts to use only properly licensed third-party content, and you agree to comply with any applicable third-party license terms that we communicate to you.
09Your representations
You represent and warrant that you have the right to provide the Client Materials to us and to authorize their use as contemplated by an engagement, and that your use of the Deliverables will not infringe the rights of any third party. You are responsible for the accuracy and legality of the content you ask us to include.
10Confidentiality and IP
Intellectual property and confidentiality are closely related. Our handling of the non-public information contained in Client Materials and Deliverables is governed by our Confidentiality Policy, which forms part of these Terms and applies alongside this policy.
11Reporting infringement
We respect the intellectual property rights of others and expect our clients to do the same. If you believe that any content on our website or in our materials infringes your rights, please contact us using the details below with sufficient information to identify the content and the right concerned, and we will review and respond appropriately.
12Changes to this policy
We may update this Intellectual Property Policy from time to time. The "Last updated" date above reflects the most recent revision. The version in effect at the time of your engagement governs that engagement unless we agree otherwise in writing.
